April 15, 1996 SEC-AFD * MEMORANDUM CIRCULAR NO. 02-96 TO : All Concerned SUBJECT : Physical Filing Criteria In support of the SEC Records Management Improvement Program, the Commission en banc in its Executive Session on January 26, 1996, approved the following physical filing criteria for all corporate and partnership filings and reports submitted under all acts and laws administered by the Securities and Exchange Commission (SEC): 1. One original and four conformed copies of the filing and reports shall be kept by the SEC receiving staff if the filing meets the physical filing criteria 2. Each conformed copy should be identical in content, page order, and pagination to the original filing including the main document, its table of contents, and any sections, exhibits, attachments, or other materials appurtenant thereto. 3. The original and all conformed copies should be submitted on paper no less in quality/legibility/durability to that produced by a standard paper copying machine in good working order, and not on carbon paper nor on light weight onion skin paper. 4. The original and all conformed copies uniformly should be on A4 or letter-sized paper, and not on legal-sized paper. 5. The original and conformed copies shall use black printing on white unglazed paper only. 6. The original and conformed pages shall utilize only one side. 7. Each of the original and conformed copies shall be submitted under a standard cover page, as shown in the form attached hereto as Appendix A, which identifies the specific filing form type or form amendment or response to show cause, the period ended date for any report or general information sheet or financial statement or other period-based filing, the complete company name principal business address and main telephone number, fiscal year ended date of the company, the corporate or partnership SEC entity identification number, the SEC file number if the filing is an amendment to any type of registration, each type of Commission registration currently effective for the filing entity, and such other information as may be required by the Commission from time to time on cover pages for all SEC filing or for any specific type of filing. From time to time, the Commission will publish a list showing the SEC filing form types currently in effect so applicants and registrants can comply with the requirement to indicate the specific form type on the standard cover page. 8. All filings must be written in the English language. ENFORCEMENT OF PHYSICAL FILING CRITERIA REQUIREMENTS The SEC receiving staff is hereby delegated authority and directed not to accept filings which do not meet the foregoing objective physical filing criteria. With due public notice, the Commission may change any such criteria from time to time as needed to meet its regulatory responsibilities. This shall take effect on 17 June 1996.
