2014 ENFORCEMENT AND INVESTOR PROTECTION DEPARTMENT SEC ADVISORY This Advisory is prompted by a report to the Commission of an advertisement on the internet carrying the name of Xinagasia Marketing Corp. wherein investment opportunities are being offered to the public such as Bonds described as "Cooperate Bond Notes" allegedly issued by Xinagasia Lending & Investors Corp. and Xinagasia Invest & Trust Bank Corp. The public is hereby informed that bonds being offered are within the definition of "securities" under Section 3.1 of the Securities Regulation Code (SRC) and are required under Section 8 of the SRC to be registered with the SEC before being offered or sold to the general public. Based on records on file with the Commission, a company by the name of XINAGASIA MARKETING CORPORATION was registered with the Commission on December 28, 2012. As stated in its Articles of Incorporation, the primary purpose of XINAGASIA MARKETING CORPORATION is: "to engage in the business of trading and marketing goods, manufactured or unmanufactured commodities; food products, and all kinds of merchandise which are lawful object of commerce on wholesale basis, and engage in or undertake the general management or promotion of product launches, events, exhibits, merchandising, marketing, and promotions of any enterprise similar in nature with the purposes for which this corporation was formed, without acting as broker or dealer in securities, government securities eligible dealer (GSED), investment adviser of an investment company, close-end or open-end investment company, investment house, transfer, commodity/financial futures exchange/broker/merchant, financing company". ACTESI Likewise, as appearing in the records of the Commission, XINAGASIA MARKETING CORPORATION is not a registered issuer of securities under Sections 8 and 12 of the Securities Regulation Code and is therefore not licensed to offer or sell securities (mutual funds, exchange trade funds and membership certificates) to the public per Certification issued by the Corporate Governance and Finance Department (CGFD) of the Commission. Further, XINAGASIA MARKETING CORPORATION has not been issued Certificates of Registration and/or licenses to act as broker/dealer in securities, Dealer in Government Securities, Investment Adviser of an Investment Company, Investment House and Transfer Agent and to sell, offer for sale or distribute securities to the public. It has not filed nor has it any pending application for said Certificates of Registration/Licenses as such broker and/or dealer of securities, Dealer in Government Securities, Investment Adviser of an Investment Company and to sell, offer for sale or distribute securities to the public per certifications from the Markets and Securities Regulation Department (MSRD) and Company Registration and Monitoring Department (CRMD). Accordingly, XINAGASIA MARKETING CORPORATION is not, under any circumstance, authorized or licensed to engage in activities and/or solicit investments necessarily connected with or incidental to the pursuit of and carrying on of the above-mentioned type of business operations which are required to secure secondary licenses from the Commission.
