The sale or offering for sale or distribution of securities within the Philippines without a registration statement being filed with and approved by the Commission in violation of Sections 8 (8.1) and 12 of the Securities Regulation Code (SRC) is punishable with a fine of not less than FIFTY THOUSAND PESOS (P50,000.00) nor more than FIVE MILLION PESOS (P5,000,000.00) or imprisonment of not less than seven (7) years nor more than twenty-one (21) years, or both in the discretion of the court pursuant to Section 73 of the said law.
