2014 SEC ADVISORY INVESTOR ALERT The Securities and Exchange Commission (SEC) has received information that the GRAND ALLIANCE OF BUSINESS LEADERS ASSOCIATION, INC. ("GABAI"), a non-stock, non-profit based in Lucena City is soliciting investments from the public with a promise of profit of twenty percent (20%) to forty percent (40%) interest per week. The amount to be invested ranges from a minimum of THREE HUNDRED FIFTY PESOS (Php350.00) to a maximum of THIRTY FIVE THOUSAND PESOS (Php35,000.00) per day. The public is hereby informed that the investments mentioned above are within the definition of "securities" under Section 3.1 of the Securities Regulation Code (SRC): "Securities" are shares, participation or interests in a corporation or in a commercial enterprise or profit-making venture and evidenced by a certificate, contract, instrument, whether written or electronic in character. It includes: (a) Shares of stock, bonds, debentures, notes, evidences of indebtedness, asset-backed securities; (b) Investment contracts, certificates of interest or participation in a profit sharing agreement, certificates of deposit for a future subscription ; (c) Fractional undivided interests in oil, gas or other mineral rights; (d) Derivatives like option and warrants; (e) Certificates of assignments, certificates of participation, trust certificates, voting trust certificates or similar instruments; (f) Proprietary or non-proprietary membership certificates incorporations; and (g) Other instruments as may in the future be determined by the Commission. It is important to note that securities under Section 8 of the SRC must be registered with the SEC before being offered or sold to the general public. The public is further informed that GRAND ALLIANCE OF BUSINESS LEADERS ASSOCIATION, INC. ("GABAI") is NOT licensed to offer/sell securities under Section 8 of the SRC. Any individual or entity who may have invested with the GRAND ALLIANCE OF BUSINESS LEADERS ASSOCIATION, INC.
