Confidentiality of SEC Investigations

2014 SEC ADVISORY CONFIDENTIALITY OF SEC INVESTIGATIONS This advisory is prompted by a report that a text message purporting to an investigation being conducted by SEC has reached the public. In the said false text message, the text sender threatened the text recipient of a supposed SEC investigation involving the company that the recipient represents and offered to set-up a meeting with SEC officials. For the information of the general public, all SEC investigations are conducted pursuant to the rules of procedures on, among others, proper notices and processes. Further, the investigations are CONFIDENTIAL in nature particularly in their initial stages under Sec. 64.2 of the Securities Regulation Code (R.A. 8799) and during an examination of the activities of the company under Sec. 142 of the Corporation Code of the Philippines (B.P. 168). Accordingly, the parties-in-interest are notified through official and duly approved legal processes by personal service, by mail, by courier, and/or by publication. SEC has not authorized any third person or entity to notify or communicate with said parties-in-interest relating to any existing or potential investigations.
