November 17, 2020 SEC ADVISORY Based on the information gathered by the Commission, a number of individuals or group of persons claiming to represent SHARELINK ADS AND CRYPTO TRADING , headed by a certain Cedric V. Suarez, are enticing the public to invest their money in said entity. As posted online, SHARELINK ADS AND CRYPTOTRADING , purportedly engaged in digital marketing and cryptocurrency trading, is offering investments to the public where a member must invest Php1,500.00 per account. Hereunder are the company's five (5) ways to earn: 1. Sharelink Ads Bonus A member-investor shall earn a total of Php1,500.00 or Php150.00 daily by just sharing the company's link to his/her Facebook account for 10 days or 100% return in 10 days ; 2. Direct Referral Bonus A member-investor shall earn Php150.00 for every direct recruit; 3. Pairing Income A member-investor shall earn Php200.00 for every pairing under his/her structure; 4. Leveling Bonus A member-investor shall earn Php200.00 per level on his/her structure regardless whether the downline is a direct recruit or not; and 5. Cyrpto Trading Bonus A member-investor shall earn Php50.00 per day for a total of 60 days or a total of Php3,000.00 or 200% return in 60 days . Considering that the aforementioned schemes involve the sale of securities to the public, the Securities Regulation Code (SRC) requires that these securities are duly registered and that the concerned corporation and/or its agents have appropriate registration and/or license to sell such securities to the public pursuant to Sections 8.1 and 28.1 of the SRC. Per records of the Commission, SHARELINK ADS AND CRYPTO TRADING is NOT registered either as a corporation or a partnership . However, SHARELINK ADS AND CRYPTOTRADING DIGITAL MARKETING SERVICES has been issued a Certificate of Business Name Registration on 29 September 2020 by the Department of Trade and Industry with Business Name No. 2203997 under the name of CEDRIC V. SUAREZ . Nonetheless, both SHARELINK ADS AND CRYPTO TRADING and SHARELINK ADS AND CRYPTOTRADING DIGITAL MARKETING SERVICES are NOT AUTHORIZED to solicit investments from the public since they have not secured prior registration and/or license from the Commission as prescribed under Sections 8 and 28 of the SRC. Moreover, SHARELINK ADS AND CRYPTO TRADING and SHARELINK ADS CRYPTOTRADING DIGITAL MARKETING SERVICES are likewise NOT INCLUDED among the registered banks, exchanges or companies engaged in digital assets with the Bangko Sentral ng Pilipinas (BSP) in accordance with the GUIDELINES FOR VIRTUAL CURRENCY EXCHANGES (BSP CIRCULAR NO. 944) . Hence, those who act as salesmen, brokers, dealers or agents or claim to act as such for SHARELINK ADS AND CRYPTO TRADING and SHARELINK ADS AND CRYPTOTRADING DIGITAL MARKETING SERVICES in selling or convincing people to invest in the investment scheme being offered by said entities including solicitations and recruitment through the internet may be prosecuted and held criminally liable under Section 28 of the SRC and penalized with a maximum fine of Five Million pesos (P5,000,000.00) or penalty of Twenty-one (21) years of imprisonment or both pursuant to Section 73 of the SRC. Also, those who invite or recruit others to join or invest in such venture or offer investment contracts or securities to the public may incur criminal liability, or otherwise be sanctioned or penalized accordingly as held by the Supreme Court in the case of Securities and Exchange Commission vs. Oudine Santos (G.R. No. 195542, 19 March 2014).
