December 22, 2023 SEC ADVISORY Based on reports and information gathered by the Commission, individual or group of persons claiming to represent POWER APPS under the corporate registration of ONE 1KEY PROGRESS BOOSTER (OKPB), INC. , are enticing the public through social media and its physical office to invest in said company. DETACa The Facebook post posted on 5 December 2023 invites the people of Zamboanga City to join Power Apps by paying Php1,000.00 membership fee. As posted online, the registration form is under the name of ONE 1KEY PROGRESS BOOSTER (OKPB), INC. On the basis of the foregoing information, the Zamboanga Extension Office of the Commission conducted a motu proprio investigation on ONE 1KEY PROGRESS BOOSTER (OKPB), INC. and its operations conducted at Room 201, Doa Vicenta Building, Zamboanga City. The evidence gathered by the investigating team reveals that to become a member of ONE 1KEY PROGRESS BOOSTER (OKPB), INC. , one should pay a registration fee which verifies the information with the Facebook post mentioned earlier. HEITAD Once registered, the member becomes part of the second business of ONE 1KEY PROGRESS BOOSTER (OKPB), INC. , which they refer to as "QUEST," whereby an investment of Php5,000.00 will guarantee a return of 50% in just 15 days. Accordingly, there is no proof of the invested money, however, the names are written on the logbook with the corresponding amount invested. It was also gathered that there is a new scheme being done by subject entity recently, whereby instead of the regular 15 days pay-out, investors are given the option to choose from the following: aDSIHc Amount Invested Number of Days Return of Investment Rate of Interest 100,000.00 5 400,000.00 * 300% 100,000.00 7 500,000.00 * 400% 100,000.00 10 It depends on the mechanics It depends on the mechanics * Only half will be paid-out and the remaining half will be reinvested to increase the share/capital. A minimum investment of Php100,000.00 will also entitle the investor a freebie of an ADV motorcycle. Also, investors were advised that the operation will only last until the end of this year but assured the members that their shares will be transferred to a new company and that it will still earn but not as much as 50% of the investment made. Allegedly, this is to get away from paying big taxes to the Bureau of Internal Revenue (BIR). In this regard, the public is made aware that an "investment contract," which is a kind of security, exists when there is an investment or placement of money in a common enterprise with a reasonable expectation of profits to be derived from the efforts of others, which is prominent in the scheme of ONE 1KEY PROGRESS BOOSTER (OKPB), INC. As such, the Securities Regulation Code (SRC) requires that said offer and/or sale of securities must be duly registered with the Commission and that the concerned entity and/or its agents should have the appropriate registration and/or license to sell such securities to the public. ATICcS Based on the Commission's database, ONE 1KEY PROGRESS BOOSTER (OKPB), INC. , is REGISTERED with the Commission on 15 September 2014 with Company Registration No. CN201417992 , however, its Certificate of Registration only grants juridical personality to the said corporation but it does not authorize ONE 1KEY PROGRESS BOOSTER (OKPB), INC. to issue, sell or offer for sale to the public, securities such as but not limited to, shares of stock, investment contracts and debt instruments without prior Registration Statement approved by the Commission . In other words, though the said company is registered, it does not have the necessary Secondary License from the Commission to authorize ONE 1KEY PROGRESS BOOSTER (OKPB), INC. to solicit investments from the public. In view thereof, the public is hereby advised NOT TO INVEST or to STOP INVESTING in the investment scheme being offered by ONE 1KEY PROGRESS BOOSTER (OKPB), INC. and its representatives . Those who act as salesmen, brokers, dealers or agents, representatives, promoters, recruiters, uplines, influencers, endorsers, abetters and enablers of ONE 1KEY PROGRESS BOOSTER (OKPB), INC. , in soliciting or convincing people to invest in the investment scheme being offered by the said entity including soliciting investments or recruiting investors through the internet may be held criminally liable under Section 11 of the Financial Products and Services Consumer Protection Act (FCPA) and Section 28 of the SRC which are both penalized separately with a maximum fine of Five Million Pesos (Php5,000,000.00) or imprisonment of Twenty-One (21) years or both pursuant to Section 73 of the SRC (SEC vs. Oudine Santos, G.R.
