2019 SEC ADVISORY The Securities and Exchange Commission ("Commission") has received information that individuals or group of persons representing GIVE AND SHARE E-COMMERCE SOLUTIONS, INC./GAS E-COMMERCE SOLUTIONS, INC. are enticing the public to invest in the said entity online or through the internet. Based on the information gathered by the Commission, GIVE AND SHARE E-COMMERCE SOLUTIONS, INC./GAS E-COMMERCE SOLUTIONS, INC. offers online business with a capital of Php1,800 membership fee which is equivalent to 72 GAS points which can be used in GAS learning hub website to purchase e-books, auto books, training courses, downloadable contents which can be sold after 30 days for Php2,300 in GAS community. Likewise, each member/investor of GAS may promote this through the following services: E-Loading Services; Airline Ticketing; and Hotel Booking Services. On the other hand, GAS Elite has Quad Cycle, an affiliate marketing program promises ways to earn: Capital is Php5,000 with different products: (Guzel collagen serum, mud mask, body butter, and glycerin soap) worth Php3,200 E-loading, Airline Ticketing, and Hotel Booking Services 1 Elite Account E-loading only 3 Elite Account and up E-loading, hotel booking, and Airline ticketing 2 types of reward/bonus options: Fast Bonus the member/investor can earn Php2,000 for every activated cell. In this bonus, the member can already get the 2,000 even though there is only 1 invite. Complete Bonus the member/investor can earn a total of Php9,000 for every activated cell. However, the member will wait for the 4 vacant slots to be filled up before he can get 2,250 each or 9,000 for the whole cycle. And this reward is up to infinity. The public is hereby informed that any offering to the public which involves investment of money in a common enterprise with the expectation of profits primarily from the efforts of others, constitutes an investment contract which is a form of securities that needs to be registered with the Commission. Thus, the public is hereby WARNED that selling or offering for sale of such investments are considered as selling or offering for sale of securities subject to the regulatory authority of this Commission. Per records of the Commission, GIVE AND SHARE E-COMMERCE SOLUTIONS, INC./GAS E-COMMERCE SOLUTIONS, INC. was registered with the Commission as a corporation on 27 March 2019 with Company Registration No. CS201951457. However, the issuance of a Certificate of Incorporation only grants an entity juridical personality but does not constitute an authority or license for the corporation to engage in activities that require a secondary license from the SEC. Note that the registration of GIVE AND SHARE E-COMMERCE SOLUTIONS, INC./GAS E-COMMERCE SOLUTIONS, INC. with the SEC does NOT authorize the said entities to offer, solicit, sell or distribute any investment/securities . Such activities require a Secondary License from the Commission and the securities or investment product should likewise be registered with the SEC before they can be offered or sold to the public under Sections 8 and 12 of the Securities Regulation Code (SRC). Hence, those who invite or recruit other people to join or invest in this venture or offer investment contracts or securities to the public may be held criminally liable or consequently sanctioned or penalized in accordance with the Supreme Court decision in the case of SEC vs. Oudine Santos (G.R. No. 195542, March 19, 2014).
