May 13, 2009 SEC ADMINISTRATIVE CASE NO. 01-09-005 IN RE: NOMAD SPORTS CLUB COMPLIANCE AND ENFORCEMENT DEPARTMENT (CED) , petitioner . FOR : Issuance of a Cease and Desist Order O R D E R This resolves the Motion to Lift Cease and Desist Order ("CDO") dated 16 February 2009 filed by the Nomad Sports Club ("Nomad" for brevity). For engaging in the unauthorized offering and selling of membership shares to the public without license to do so, a Cease and Desist Order was issued against respondent, its officers, directors, representatives and agents from further offering and selling membership certificates to the general public. However, records show that up to now, Nomad has not registered the securities offered to the public, as certified by the Corporation Finance Department. 1 Hence, Nomad is in continuous violation of Sections 8 and 12 of the Securities Regulation Code. Indeed, it would be an utter absurdity to lift the CDO or to even consider the same lifted. WHEREFORE, premises considered, the Motion to Lift Cease and Desist Order dated 16 February 2009 is hereby DENIED. The Order dated 30 January 2009 STAYS. Accordingly, respondent NOMAD SPORTS CLUB, its respective officers, directors, representatives, agents and any and all persons, conduit entities and subsidiaries claiming and acting for and in behalf of respondent are hereby ordered to immediately CEASE AND DESIST from further offering and selling membership certificates to the general public.
