December 10, 2012 PSE MEMORANDUM NO. LA-0541-12 TO : The Investing Public SUBJECT : MRC Allied, Inc. Release of Shares Under Lock-up This is with reference to Memorandum LA-No. 2012-0279 dated June 7, 2012, regarding the additional listing of 503,583,253 common shares of MRC ALLIED, INC. ("MRC" or the "Company"), with a par value of P0.20 per share, to cover the Debt-to-Equity Conversion Transaction with Menlo Capital Corporation ("MCC") at a conversion price of P0.20 per share. The said 503,583,253 common shares were listed on June 11, 2012. In relation thereto, the Exchange received on November 29, 2012, a letter from the Philippine Depository & Trust Corporation ("PDTC"), advising the Exchange that the 503,583,253 MRC common shares held by MCC, which are held in escrow in compliance with the one hundred eighty (180)-day lock-up requirement of the Exchange, expired on December 8, 2012. This is in accordance with the Escrow Agreement executed by the Company, MCC, PDTC and Salisbury BKT Securities Corporation on June 5, 2012. In view thereof, the 503,583,253 common shares of the Company previously locked-up shall be eligible for trading on the Exchange commencing on Tuesday, December 11, 2012.
