LA-0533-12 TO : The Investing Public SUBJECT : Trans-Asia Oil and Energy Development Corporation Additional Listing Please be informed that the Board of Directors of The Philippine Stock Exchange, Inc., in its regular meeting on October 10, 2012, approved the application of TRANS-ASIA OIL AND ENERGY DEVELOPMENT CORPORATION ("TA" or the "Company") to list up to 500,000,000 common shares, with a par value of P1.00 per share, to cover its private placement transactions (the "Placement") with Qualified Institutional Buyers ("QIBs") and investors not exceeding 19 in number at a Placement Price equivalent to the offer price of the Company's stock rights offering ("SRO") to its stockholders of record as of November 7, 2012. CAaEDH As previously announced, the SRO price was set at P1.00 per share. The final terms and conditions of the Company's SRO were announced through Memorandum LA-No. 2012-0485 dated November 9, 2012. The SRO shares were subsequently listed on November 27, 2012. In relation thereto, the Company certified that a total of 400,000,000 TA common shares were issued to QIBs and to not more than 19 non-related investors at a Placement Price of P1.00 per share, with a total transaction value of P400,000,000.00, through Maybank ATR KimEng Securities, Inc. and AB Capital Securities, Inc. Please refer to Circular No. 8791-2012 dated December 6, 2012 regarding the Company's disclosure on the Placement. In view thereof, the listing of the additional 400,000,000 common shares of the Company is set for Monday, December 10, 2012.
