STI Education System Holdings, Inc.: Release of Shares under Lock-up

May 8, 2013 PSE MEMORANDUM NO. LA-0178-13 TO : The Investing Public SUBJECT : STI Education System Holdings, Inc. Release of Shares under Lock-up This is with reference to Memorandum LA_No. 2012-0466 dated October 24, 2012, regarding the additional listing of 5,901,806,924 common shares of STI EDUCATION SYSTEM HOLDINGS, INC. ("STI" or the "Company") to cover its share-for-share swap transaction with various STI Education Services Group, Inc. ("STI ESG") shareholders. The 5,901,806,924 STI common shares with a par value P0.50 per share were issued in exchange for 907,970,295 STI ESG common shares held by the STI ESG Shareholders. The said common shares of the Company were listed on October 29, 2012 ("Listing Date"). However, out of the 5,901,806,924 STI common shares, only 1,164,935,101 common shares were eligible for trading on the Listing Date. In relation thereto, the Exchange received a letter dated May 2, 2013 from Union Bank of the Philippines, the Escrow Agent, informing the Exchange that, consistent with the Lock-up Agreement executed by the Company, STI ESG shareholders and the Escrow Agent in compliance with Article V, Part A, Section 7 of the Revised Listing Rules of the Exchange, the lock-up period of 180 days of the remaining 4,736,871,823 STI common shares held by STI ESG shareholders lapsed on April 27, 2013. In view thereof, the 4,736,871,823 common shares of the Company previously locked-up shall be eligible for trading on the Exchange commencing on Thursday, May 9, 2013 .
