April 26, 2013 PSE MEMORANDUM NO. LA-0163-13 TO : The Investing Public SUBJECT : First Philippine Holdings Corporation Additional Listing The Exchange approved on November 8, 2006, the application of FIRST PHILIPPINE HOLDINGS CORPORATION ("FPH" or the "Company") to list additional 40,000,000 common shares , with a par value of P10.00 per share , to cover the Company's Employees Stock Purchase Plan ("ESPP") and Executive Stock Option Plan ("ESOP") (collectively referred to as the "Plan"). 1 HAICET This is in addition to the 40,000,000 common shares approved by the Exchange in 1997 to cover the Company's ESPP and ESOP. Out of these 40,000,000 common shares previously approved for listing, a total of 36,675,560 shares have been listed, while the remaining 324,440 shares have not been availed of and fully paid yet. Hence, as of November 8, 2006, a total of 40,324,440 common shares are available to cover the Company's ESPP and ESOP. In this connection, please be advised that an additional 91,684 common shares have been availed of and fully paid under the Company's ESOP and ESPP with the following breakdown: ESOP 91,684 ESPP 0 Total 91,684 ===== In view thereof, the listing of additional 91,684 common shares availed of under the Company's ESOP and ESPP is set for Monday, April 29, 2013. This brings the number of common shares listed under the Company's ESOP and ESPP to a total of 32,321,516 common shares.
