April 24, 2013 PSE MEMORANDUM NO. LA-0158-13 TO : The Investing Public SUBJECT : Atlas Consolidated Mining and Development Corporation Additional Listing Please be informed that the Board of Directors of The Philippine Stock Exchange, Inc. (the "Exchange"), in its regular meeting on May 28, 2008, approved the application of ATLAS CONSOLIDATED MINING AND DEVELOPMENT CORPORATION ("AT" or the "Company"), to list additional 25,000,000 common shares to cover the Company's Comprehensive Stock Option Plan ("CSOP" or the "Plan") at a Purchase Price of P10.00 per share. TCAScE As announced in Circular No. 5256-2012 dated July 11, 2012, the Securities and Exchange Commission approved on July 6, 2012, the Company's change in par value of AT shares from P10.00 to P8.00 per share. Such change in par value was reflected on the Exchange's trading system effective on October 24, 2012. Further, as previously disclosed by the Company, "(t)he Decrease will not affect the total number of shares of stock constituting Atlas's issued and outstanding capital stock". In this connection, please be advised that on April 24, 2013, AT notified the Exchange that a total of 250,000 common shares have been availed of and fully paid by the optionees under the Company's CSOP. In view thereof, the listing of additional 250,000 common shares availed of under the Company's CSOP is set for Thursday, April 25, 2013 . This brings the number of common shares listed under the CSOP to a total of 3,627,581 common shares.
