April 5, 2013 PSE MEMORANDUM NO. LA-0137-13 TO : The Investing Public SUBJECT : Boulevard Holdings, Inc. Additional Listing Please be informed that the Board of Directors of The Philippine Stock Exchange, Inc. ("PSE" or the "Exchange"), in its regular meeting on February 13, 2013, approved the application of BOULEVARD HOLDINGS, INC. ("BHI" or the "Company") to list additional 466,853,408 common shares (the "Private Placement Shares"), with a par value of P0.10 per share, to cover its private placement transaction with JP Guilds, Inc. (the "Subscriber"). The 466,853,408 common shares were issued at P0.2142 per share with a total transaction value of P100,000,000.00. 1 Further, in compliance with Article V, Part A, Section 7 ("Lock-up Rule") of the Revised Listing Rules of the Exchange, the Company, the Subscriber, and Security Bank Corporation Trust Division ("Escrow Agent") executed an Escrow Agreement on March 18, 2013 to implement the required lock-up of the BHI shares subscribed by the Subscriber which will commence on listing date and will terminate one hundred eighty (180) days thereafter. In view thereof, the listing of the additional 466,853,408 common shares of the Company is set for Wednesday, April 10, 2013. However, the Private Placement Shares to be listed will only be tradable after the Exchange's receipt of the official notice from the Escrow Agent with regard to the lapse of the lock-up period of the Private Placement Shares.
