ABS-CBN Holdings Corporation: Philippine Deposit Receipts (PDRs): Monitoring of PDRs

LA-0066-13 TO : The Investing Public SUBJECT : ABS-CBN Holdings Corporation Philippine Deposit Receipts (PDRs) Monitoring of PDRs The Exchange approved on September 8, 1999, subject to either actual issuance or exercise of PDRs, the listing application of ABS-CBN HOLDINGS CORPORATION ("ABS" or the "Company") to list a maximum of 272,000,000 Philippine Deposit Receipts ("PDRs" or "ABSP"). In this connection, please be advised that the Company's PDR agent has received notices from the Company's shareholders for the exchange of ABS common shares to PDRs on the following dates: Number of ABS Common Number of Date of PDR Shares PDRS Issued Issuance 151,000 151,000 January 24, 2013 38,000 38,000 January 24, 2013 TOTAL 189,000 ======= To effect the said conversion, the PDR Agent caused the issuance of 189,000 PDRs to the concerned shareholders. Further, please be advised that the Company's PDR agent likewise received notices from the PDR holders for the conversion of the following PDRs into ABS common shares on the following dates: TECIHD Number of PDRs Number of PDR Cancellation corresponding ABS shares Date 8,137,400 8,137,400 January 24-28, 2013 TOTAL 8,137,400 ========= To effect the said conversion, the PDR Agent recorded the cancellation in its books of the above number of PDRs, and facilitated the delivery of the corresponding ABS common shares in favor of the exercising PDR holders. In view thereof, the records of the Exchange will be adjusted on Wednesday, February 13, 2013 to reflect (i) the 189,000 PDRs issued to the concerned shareholders as a result of the conversion of ABS common shares to the corresponding PDRs; and (ii) the 8,137,400 PDRs cancelled in the Company's books as a result of the conversion of the PDRs to ABS common shares.
