Philex Mining Corporation: Additional Listing

February 8, 2013 PSE MEMORANDUM NO. LA-0059-13 TO : The Investing Public SUBJECT : Philex Mining Corporation Additional Listing The Exchange approved on May 9, 2007, the application of PHILEX MINING CORPORATION (the "Company") to list an additional 88,733,707 shares , with a par value of P1.00 per share , to cover the Company's Stock Option Plan ("SOP" or the "Plan") at an exercise price based on a 20% discount to the weighted average of the closing price per share quoted at the Exchange for a period of twenty (20) trading days immediately prior to the Option Grant Date. Further, the Exchange approved on July 11, 2008, the application of the Company to list an additional 21,302,537 shares to cover the Company's Plan, pursuant to the increase in the Company's number of outstanding shares after the 30% stock dividend declaration to stockholders of record as of March 7, 2008. In addition, the Exchange approved on October 14, 2009, the application of the Company to list an additional 18,760,237 shares to cover the Company's Plan, pursuant to the further increase in the Company's number of outstanding shares after the 25% stock dividend declaration to stockholders of record as of June 8, 2009. This brings the total number of shares allocated under the Company's Plan to 128,796,481 shares . In this connection, please be advised that an additional 75,500 common shares have been availed of and fully paid under the Company's SOP. In view thereof, the listing of additional 75,500 common shares availed of under the Company's SOP is set for Monday, February 11, 2013 . This brings the number of common shares listed under the Company's SOP to a total of 111,522,082 common shares.
