January 24, 2013 PSE MEMORANDUM NO. LA-0033-13 TO : The Investing Public SUBJECT : Global-Estate Resorts, Inc. Additional Listing Please be informed that the Exchange approved on January 9, 2013, the application of GLOBAL-ESTATE RESORTS, INC. (the "Company" or "GERI") to list additional 550,000,000 common shares , with a par value of P1.00 per share, to cover the following transactions: a. 345,377,555 common shares to cover the Company's debt-to-equity conversion transaction with Fil-Estate Management, Inc. ("FEMI") at a subscription price of P1.00 per share, with a total transaction value amounting to P345,377,555.00; and b. 204,622,445 common shares to cover the Company's private placement transaction with FEMI at a subscription price of P1.00 per share, with a total transaction value amounting to P204,622,445.00. The abovementioned debt-to-equity conversion and private placement transactions (collectively, the "Transactions") are in connection with the increase in the Company's Authorized Capital Stock ("ACS") from P2.8 Billion divided into 2.8 billion common shares with a par value of P1.00 each, to P5 Billion divided into 5 billion common shares with a par value of P1.00 each. To support the increase of 2,200,000,000 common shares, the Company issued an aggregate of 550,000,000 common shares to FEMI pursuant to the Transactions. The SEC approved the said increase in the Company's ACS on June 14, 2007. In view thereof, the listing of additional 550,000,000 common shares of the Company is set for Monday, January 28, 2013 .
