May 9, 2013 PSE MEMORANDUM NO. DA-0296-13 TO : The Investing Public and Trading Participants SUBJECT : Publication of Penalties Assessed Pursuant to Section 4 of Penalties and Fines on Publication of Penalties Assessed under the Listing and Disclosure Rules of the Exchange, the Exchange would like to inform the investing public that the following listed companies have paid the corresponding penalties imposed for delayed/non-submission of the Annual Report, using SEC Form 17-A, for the year ended December 31, 2012: CaEATI 1. Filinvest Land, Inc. ("FLI") 2. Marsteel Consolidated, Inc. ("MC") The trading of MC shares has been suspended since May 21, 2007 due to its non-compliance with the structured reportorial requirements of the Exchange, as previously announced in Memo for Brokers No. 210-2007 dated May 21, 2007. Please note that MC has yet to submit the following structured reportorial requirements of the Exchange: a. Annual Reports, using SEC Form 17-A, for the years ended 2007 to 2012; and b. First to Third Quarterly Reports, using SEC Form 17-Q, for the years ended 2007 to 2012. Further, the Securities and Exchange Commission issued an Order of Revocation dated May 25, 2009 on MC's Registration of Securities and Permit to Sell Securities, as previously announced in Memorandum No. 2009-0292 dated May 28, 2009. The trading of MC shares shall remain suspended until further notice. The Exchange shall inform the Trading Participants and the investing public of further developments on the matter. The Exchange imposed on the above-mentioned companies the applicable penalties for non-compliance with the following provisions of the Revised Disclosure Rules of the Exchange: HDATSI Section 17.2. SUBMISSION OF PERIODIC AND OTHER REPORTS BY LISTED COMPANIES TO THE EXCHANGE: Issuers shall file with the Exchange the following periodic and other reports: a. Annual Report : An annual report using SEC Form 17-A within 105 days after the end of the fiscal year, or such other time as the Commission by rule shall prescribe; . . . .
