Submission of 2012 Corporate Governance Guidelines Disclosure Template

January 7, 2013 PSE MEMORANDUM NO. DA-0013-13 TO : All Listed Companies SUBJECT : Submission of 2012 Corporate Governance Guidelines Disclosure Template Relative to PSE Memorandum No. 2010-0574, dated 26 November 2010, we would like to remind all Listed Companies of the requirement for submission of the Disclosure Template of the Corporate Governance Guidelines for Companies Listed on the Philippine Stock Exchange for the year 2012. The disclosure is an annual submission requirement implemented under a "comply or explain" regime wherein listed companies are to report their compliance with the guidelines and respective best practices, or otherwise explain the reason for the non-compliance and/or provide the alternative CG practice that the company has adopted. In addition, each submission shall be validated by the PSE Corporate Governance Office and shall form part of the basis for the initial evaluation of listed companies for the 2013 Bell Awards for Corporate Governance. For purposes of the 2012 submission, the CG Guidelines Disclosure Template is not required to be under oath, and the report or summary of exceptions does not have to be included in the company's annual report or posted in the company's website.
