November 24, 1997 PSE LISTING CIRCULAR NO. 208-97 SUBJECT : Maintenance Fees for Warrants and Listing Fees for the Underlying Shares of Warrants EXECUTIVE SUMMARY The following are the fees imposed on the listing of warrants and their underlying shares, approved and adopted by the Board of Governors A. Maintenance Fees for Subscription Warrants 1. A maintenance fee is payable upon the approval of the application for listing of Subscription Warrants of an applicant and/or listed company by the Board of Governors. 2. The annual maintenance fees for Subscription Warrants shall be based on the total funds which would be raised from the full exercise of the warrants, to wit: TOTAL FUNDS WHICH WOULD BE RAISED ON FULL EXERCISE OF THE WARRANTS % of existing issued share capital subject to warrants Not exceeding P500M Not exceeding P1B Above P1 B Not exceeding 10% P150,000.00 P250,000.00 P300,000.00 Not exceeding 50% 150,000.00 250,000.00 400,000.00 Not exceeding 100% 250,000.00 300,000.00 450,000.00 Over 100% 300,000.00 400,000.00 600,000.00 3. If the Subscription Warrants are listed anytime during the year, the applicant company shall pay a maintenance fee covering the quarter when the warrants were listed until year-end. B. Listing Fee for Underlying Shares of the Warrants 1. After the approval of the application for listing and upon conversion of the Subscription Warrants, the listing fee on the underlying shares shall be imposed by the Exchange. 2. The applicable listing fee shall be that which is imposed by the rules of the Exchange at the time of the conversion of the Subscription Warrants. The foregoing rules and policies shall be supplemental to the Manual of Rules Governing the Listing of Securities approved by the Board of Governors. Any rule or policy which is inconsistent herewith is hereby deemed repealed or modified accordingly. The foregoing rules of the Exchange shall be effective immediately upon publication thereof.
