May 3, 1999 PSE CIRCULAR FOR BROKERS NO. 960-99 April 30, 1999 Ms Grace B de Guia Assistant Manager Disclosure Department Philippine Stock Exchange PSE Center, Exchange Road Pasig City Dear Ms De Guia : This is to clarify our earlier disclosure to the Exchange relative to an article published in the Manila Times today captioned "SM Prime wants only select Uniwide assets" The report may have referred to certain meetings held late last year (1998) with respect to possible areas of cooperation between our Franchisee, the Uniwide Sales Warehouse Club, Inc. and SM Prime. However, such discussions did not pursue as both parties agreed to restudy their respective positions. Since then, the Company is not aware of any formal communication with respect to such plans of SM Prime nor of reviving these previous discussions.
