("DGTL") furnished the Exchange a copy of its SEC Form 34-C (Definitive Information Statement) in connection with its Annual Stockholders' Meeting which will be held on May 31 , 1999 , at 10:00 A.M. at the Amorsolo Grand Ballroom, Manila Galleria Suites, ADB Avenue, Ortigas Centre, Pasig City. The agenda for the meeting shall be as follows: LLjur 1. Call to Order; 2. Certification by the Corporate Secretary on the sending of notices and existence of quorum; 3. Reading and approval of minutes of the last Annual Stockholders Meeting; 4. Report of the President; 5. Approval of the Financial Statements for the fiscal year ended December 31, 1998; 6. Ratification of actions taken by the Board of Directors and Officers of the Corporation since the last annual meeting of the stockholders; 7. Election of Directors; 8. Appointment of External Auditors; 9. Consideration of such other matters as may properly come during the meeting; 10. Adjournment.
