Registration No. 21134 Gentlemen : Please be advised that the Annual Stockholders' meeting of our client, Vitarich Corporation (the "Corporation"), which is scheduled to be held on the second Friday of May, or on 8 May 1998, pursuant to Section 1 of Article I of its By-laws, will be postponed to the last Friday of June, or on June 26, 1998. The annual meeting is being postponed in view of the pending application with the Securities and Exchange Commission for the amendment of the By-Laws of the Corporation which included the amendment of the date of the annual stockholders' meeting from the second Friday of May to the last Friday of June.
