Garcia Gentlemen : Please be informed that during the regular meeting of the Board of Directors of UNION BANK OF THE PHILIPPINES ("UBP") held on April 24, 1998, the Board approved the DECLARATION OF CASH DIVIDEND of ten centavos (P.10) per share to shareholders of UBP based on stockholdings prior to December 22, 1997 Rights Offering which dividend declaration shall be subject to confirmation by the stockholders of UBP at its Annual Meeting on May 22, 1998. Record and payment dates shall be fixed upon approval by the Bangko Sentral ng Pilipinas and Securities and Exchange Commission, and proper clearances with the Philippine Stock Exchange.
