April 21, 1999 PSE CIRCULAR FOR BROKERS NO. 823-99 April 19, 1999 Philippine Stock Exchange PSE Center Exchange Road Pasig City RE : First Abacus Financial Holdings Corporation Gentlemen : On behalf of our referenced client, we advise that on 30 March 1999, the Securities and Exchange Commission approved the 30 September 1997 amendment of Article VII of the Articles of Incorporation of Abacus Securities Corporation increasing the authorized capital stock of Abacus Securities from Fifty Million Pesos (P50,000,000.00) to Five Hundred Million Pesos (P500,000,000.00), of which Four Hundred Million Pesos (P400,000,000.00) has been subscribed. Of the increase in capital stock, First Abacus Financial Holdings Corporation subscribed to an additional Three Hundred Fifty Million Pesos (P350,000,000.00) and paid in One Hundred Eighty Million Pesos (P180,000,000.00). Each new share was subscribed at its par value of One Hundred Pesos (P100.00). Following such increase and subscription and excluding nominal shares of Directors, First Abacus Financial Holdings now owns approximately 87.525% of Abacus Securities, whereas Abacus Capital and Investment Corporation owns 22.475% of Abacus Securities. Abacus Capital is wholly-owned by First Abacus Financial Holdings Corp.
