("SOC") furnished the Exchange a copy of its SEC Form 34-C (Definitive Information Statement) in connection with its Annual Stockholders' Meeting which will be held on May 14, 1999 , at 2:00 p.m., at the Peninsula Manila, Corner Ayala and Makati Avenues, Makati City. The meeting is being held for the following purposes: 1. Proof of notice and quorum; 2. Reading and approval of previous Minutes; 3. Report of Management; 4. Ratification of the acts of the Board of Directors and Officers; 5. Approval of amendment to the Corporation's By-Laws changing the date of the annual meeting of the stockholders; 6.
