March 27, 2000 PSE CIRCULAR FOR BROKERS NO. 780-00 SUBJECT : Bankard, Inc. Further to Circular for Brokers No. 113-2000 dated January 19, 2000, Bankard, Inc. ("BKD") furnished the Exchange a copy of its SEC Form 34-C (Definitive Information Statement) including its 1999 Annual Report, in connection with its Annual Stockholders' Meeting which will be held on April 13, 2000, at 2:00 p.m., at the Francisco Santiago Hall, Mezzanine Floor, Equitable PCI Bank Tower 1, Makati Avenue corner H.V. Dela Costa Street, Makati City. The agenda for the meeting shall be as follows: 1. Call to Order EHITaS 2. Certification by the Corporate Secretary on the sending of notices and existence of a quorum 3. Reading and approval of minutes of the 1999 annual meeting of the stockholders 4. Report of the President 5. Approval of the 1999 Financial Statements 6. Ratification of actions taken by the Board of Directors and Officers of the Corporation since the last annual meeting of the stockholders 7. Appointment of independents auditors 8. Election of eleven (11) Directors 9. Approval of the increase in the number of Directors from eleven (11) to fifteen (15), thereby amending Article 6 of the Amended Articles of Incorporation 10. Election of the four (4) additional Directors subject to the approval by the stockholders of the increase in the number of Directors from eleven (11) to fifteen (15), and whose election shall be effective only upon the approval of the SEC 11. Approval of the change in the date of the annual meeting of the stockholders to any day in April of every year as determined by the Board of Directors, thereby amending Section 1 of Article 11 of the Amended By-Laws 12. Transaction of such other matters as may properly come before the meeting 13. Adjournment As previously announced, stockholders of record as of March 13, 2000 are entitled to notice of, and to vote at, said meeting.
