March 23, 2000 PSE CIRCULAR FOR BROKERS NO. 761-00 SUBJECT : Alsons Cement Corporation Alsons Cement Corporation ("ALC") furnished the Exchange a copy of its SEC Form 34-A (Definitive Proxy Statement), including its Audited Consolidated Financial Statements as of December 31, 1999, in connection with its Annual Stockholders' Meeting which will be held on April 12, 2000, at 9:00 a.m. at the Hotel Inter-Continental Manila, 1 Ayala Avenue, Makati City. The agenda for the meeting shall be as follows: 1. Approval of the Minutes of the Annual Meeting of Stockholders held on 23 April 1999 2. Approval of Annual Report of the President and the Audited Financial Statements of the company as of 31 December 1999 3. Ratification of all acts, contracts, investments and resolutions of the Board of Directors and Management since the last annual meeting 4. Election of the members of the Board of Directors 5. Appointment of External Auditors 6. Other matters as may properly come after 23 April 1999 and before 12 April 2000 Stockholders of record as of March 16, 2000 are entitled to notice of, and to vote at, said meeting. Stockholders who are unable to attend said meeting but would like to be represented thereat, may submit a proxy instrument not later than April 7, 2000 or five (5) days prior to the annual meeting.
