April 14, 1999 PSE CIRCULAR FOR BROKERS NO. 742-99 SUBJECT : Metro Pacific Corporation Further to Circular No. 278-99 dated February 15, 1999, Metro Pacific Corporation ("MPC") furnished the Exchange a copy of its SEC Form 34-C (Definitive Information Statement) in connection with its Annual Stockholders' Meeting which will be held on April 23 , 1999 , at 4:00 p.m., at the Ballroom of the Manila Peninsula Hotel, Makati Avenue, Makati City. The meeting shall be held for the following purposes: 1. To consider and act upon the proposed merger between the Company and Pacific Plaza Towers, Inc. 2. To ratify all acts of the Board of Directors and Management for the year 1998 3. To consider and act upon the Chairman's and President's Report and the Annual Report of the Company for the year ended 31 December 1998 4. To elect the Directors of the Company for the ensuing year 5. To consider and act upon the appointment of independent auditors 6.
