("ISM") furnished the Exchange on April 7, 1998 a copy of SEC Form 34-A (Definitive Proxy Statement)in connection with its Annual Stockholders' Meeting which will be held on Friday, May 8, 1998 at 4:00 p.m., at the Valle Verde Country Club, Antipolo Room, Pasig City. The Agenda for the meeting shall be as follows: 1. Call to Order. 2. Certification by the Corporate Secretary on the sending of notices and existence of a quorum. 3. Approval of Minutes of Stockholders meeting held on May 2, 1997. 4. Annual Report of the President and Chairman of the Board. 5. Approval of Audited Financial Statements for Calendar Year 1997. 6. Ratification of acts, resolutions and decisions of the Board of Directors and Management. 7. Re-appointment of External Auditors. 8. Nomination and Election of Directors. 9. Other Matters. As previously announced, stockholders of record as of Friday, February 27, 1998, are entitled to notice of and to vote at said meeting. The stock and transfer book of the company will be closed from February 27, 1998 to May 8, 1998 , both dates inclusive.
