("SMPH") furnished the Exchange a copy of its SEC Form 34-C (Definitive Information Statement), with audited financial statements for the year ended December 31, 1998, in connection with its Annual Stockholders' Meeting which will be held on April 29, 1999 , at 3:00, p.m., at the Rigodon Ballroom, The Peninsula Manila, Makati City. As previously announced, stockholders of record as of the March 30, 1999 are entitled to notice of, and to vote at, said meeting.
