("SOC") furnished the Exchange a copy of its SEC Form 34-C (Preliminary Information Statement) in connection with its Annual Stockholders' Meeting which will be held on April 19, 2000, at 10:00 a.m. at The Peninsula Manila, corner Ayala and Makati Avenues, Makati City. The agenda for the meeting shall be as follows: 1. Proof of notice and quorum; 2. Reading and approval of previous Minutes; prcd 3. Report of Management; 4. Ratification of the acts of the Board of Directors and Officers; 5. Election of Directors; 6. Appointment of Auditors; 7. Other Matters; and 8. Adjournment. Only stockholders of record as of March 30, 2000 are entitled to notice of, and to vote at, said meeting. The Stock and Transfer Book of SOC shall be closed from March 30, 2000 to April 19, 2000. Those who cannot attend the meeting but would like to be represented thereat, may accomplish a proxy form and submit the same to the office of the Corporate Secretary on or before April 10, 2000.
