April 6, 1999 PSE CIRCULAR FOR BROKERS NO. 658-99 SUBJECT : Republic Cement Corporation Further to Circular for Brokers No. 561-99 dated March 23, 1999, Republic Cement Corporation ("RCC") furnished the Exchange a copy of its SEC Form 34-A (Definitive Proxy Statement), including its 1998 Annual Report, in connection with its Annual Stockholders Meeting which will be held on April 22, 1999 , at 4:00 P.M. at the Ballroom 2, and 3 Mandarin Oriental Hotel Manila, Makati Avenue City. The agenda for the meeting shall be as follows: 1. Approval of Minutes of the Special Meeting of Stockholders on March 5, 1998 and the Minutes of the Annual Meeting of Stockholders held on April 23, 1998 2. Approval of Annual Report to Stockholders and Audited Financial Statements for the year ended December 31, 1998 3. Confirmation /ratification of all acts and proceedings of the Board of Directors of the Corporation done and taken during the preceding year LLjur 4. Election of Directors 5.
