Grace de Guia Assistant Manager Gentlemen : In a regular meeting of the Board of Directors of Petrofields Corporation ("Corporation") held on 13 March 2000, the following resolutions were approved and adopted, upon motion duly and seconded: "RESOLVED, as it is hereby, that the Corporation be authorized not to pursue the incorporation of a subsidiary which will be used for the acquisition of the total outstanding capital stock of Mapua Institute of Technology ("MIT"). "RESOLVED, FURTHER, that as originally planned, the Corporation be the direct owner of MIT; "RESOLVED, FINALLY, that the Management be authorized to do any and all acts to give effect to the foregoing resolutions."
