March 10, 2000 PSE CIRCULAR FOR BROKERS NO. 630-00 SUBJECT : Banco Filipino Savings and Mortgage Bank Banco Filipino Savings and Mortgage Bank ("BF") furnished the Exchange a copy of its SEC Form 34-C (Preliminary Information Statement) in connection with its Annual Stockholders' Meeting which will be held on April 8, 2000, at 5:00 p.m., at the 9th Floor, Banco Filipino Bldg., 101 Paseo de Roxas cor. Dela Rosa Sts. Legaspi Village, Makati City. The agenda of the meeting shall be as follows: 1. Certification by the Corporate Secretary on the sending of notices and existence of a quorum; 2. Approval of Minutes of Stockholders' Meeting held on March 26, 1999; 3. Approval of the Annual Report and Financial Statements and Ratification of the Acts of the Board of Directors and Management; 4. Approval of the increase in authorized capital from P5.0 Billion to P8.0 Billion; 5. Election of the Board of Directors; and 6. Such other business as may properly come before the meeting. Stockholders of record as of March 17, 2000 are entitled to notice of, and to vote at, said meeting. Stockholders who cannot personally attend the meeting may submit a proxy form to the Office of the Corporate Secretary on or before March 31, 2000.
