Isabel Garcia Head Listing Group RE : Fil-Estate Land, Inc . Please be advised that the Board of Directors of Fil-Estate Land, Inc. (the "Company") during its meeting on 6 April 1998 was informed that the audited financial statement of the Company will not be finished until after approximately two weeks from the afore-mentioned dated. It was noted by the Board of Directors that the audited financial statement is a requirement in connection with the Information Statement for the scheduled annual stockholder's meeting on 4 May 1998. Under the New Disclosure Rules of the Revised Securities Act, the Information Statement must be released to stockholders not later than 15 business days from the scheduled meeting, in this case on 8 April 1998. In view of the fact that the required attachment of the Information Statement will not be ready on 8 April 1998, the Board of Directors resolved to move the annual stockholder's meeting from 4 May 1998 to 8 June 1998. cdpr Very truly yours.
