The meeting is being called for the purpose of: 1. Approving the Minutes of the Previous Meeting of the Stockholders 2. Hearing and considering the Report of the Management and Approving the 1997 Audited Financial Statements 3. Approving the Quasi-Reorganization Plan 4. Amending Article VII of the Articles of Incorporation to conform with the Quasi-Reorganization Plan 5. Confirming and Ratifying all Acts, Contracts and Investments made and entered into by Management and/or the Board of Directors 6. Electing the Members of the Board of Directors for the year 1998-1999 7. Reappointing the External Auditors (SGV & Co.) 8. Transacting such other business as may properly come before the meeting.
