Garcia Head, Listing and Disclosure Group SUBJECT : Postponement of Annual Stockholders Meeting of F & J Prince Holdings Corporation Gentlemen : Please be advised that conformably with Section 1, Article II of the Amended By-Laws of F & J Prince Holdings Corporation (the "Corporation"), the Annual Stockholders Meeting of the Corporation is postponed and shall be held on 24 June 1998 (Wednesday), as determined by the Board of Directors during its regular meeting held on 26 March 1998. asiadc The Board of Directors, during the same meeting, also fixed the record date for the determination of stockholders entitled to notice of, and to vote at, the Annual Stockholders Meetings on 29 May 1998. Notices of the date, time and place of the Annual Stockholders Meeting shall be sent to the stockholders of the Corporation in due course, in accordance with the Corporation's Amended By-Laws and the relevant rules of the Commission and the Exchange.
