March 6, 2000 PSE CIRCULAR FOR BROKERS NO. 582-00 March 6, 2000 Philippine Stock Exchange 4/F Philippine Stock Exchange Center PSE Center, Exchange Road Ortigas Center, Pasig City Attention : Disclosure Department Listing and Disclosure Group Gentlemen : We disclose that pursuant to the power delegated to the Board of Directors by the stockholders, the Board authorized and approved the following amendments to the Company's By-Laws: Article I Section 1, Article II Sections 3 and 6, Article V Section 1 pertaining to the change in place of principal office from Makati to Metro Manila and increase on the number of directors from 11 to 13, which amendments are consistent with the amendments to the Articles of Incorporation of the Company approved by the stockholders at the December 10, 1999 Special Meeting of Stockholders.
