March 7, 2000 PSE CIRCULAR FOR BROKERS NO. 576-00 SUBJECT : Manila Mining Corporation Additional Listing Please be informed that on July 24, 1996, the Exchange approved, subject to the actual availment and full payment of the shares, the listing application of MANILA MINING CORPORATION ("Company") to list 418,500,000 common shares consisting of 251,100,000 Class "A" shares and 167,400,000 Class "B" shares with a par value of P0.01 per share, to cover the Company's Seventh Stock Option Awards under the Company's Stock Option Plan. On July 18, 1996, the Exchange approved, subject to the availment of the shares for the Stock Option, the listing application of the Company to list additional 167,400,000 shares representing the 40% upward adjustment on the shares being granted under the 7th Stock Option Awards resulting from the 40% stock dividend declaration due to stockholders of record as of May 15, 1996. Furthermore the Exchange approved also subject to the availment of the shares for the Stock Option, the listing application of the Company to list additional 203,108,626 common shares, consisting of 121,865,169 Class "A" shares and 81,243,447 Class "B" shares, representing the rights entitlement of employees, who availed of their options under the 7 Stock Option Plan, under the 1:2.67 Pre-emptive Rights Offering to stockholders of record as of March 18, 1998. In connection with this, please be advised that from February 15 to March 2, 2000 the Company has received notice from optionees for the availment of 22,142,857 common shares, consisting of 13,285,714 Class "A" shares and 8,857,143 Class "B" shares. These optionees are entitled to a total of 20,467,629 common shares, divided into 5,314,286 Class "A" shares and 3,542,857 Class "B" shares to cover the 40% stock dividend declaration; and 6,966,291 Class "A" shares and 4,644,195 Class "B" shares to cover their pre-emptive rights. In view thereof, the listing of 42,610,486 shares consisting of 25,566,291 Class "A" shares and 17,044,195 Class "B" shares availed under the Company's Stock Option Plan, their 40% stock dividend and pre-emptive rights is set for Wednesday, March 8, 2000 . This brings to a total of 155,362,545 shares that are already listed under the Company's Seventh Stock Option Awards with 40% stock dividend and their pre-emptive rights The designated Stock Transfer Agent is hereby authorized to record and register in its books the above number of shares.
