April 2, 1998 PSE CIRCULAR FOR BROKERS NO. 571-98 SUBJECT : Manila Mining Corporation Further to Circular No. 299-98 dated March 6, 1998, Manila Mining Corporation ("MA") furnished the Exchange on March 30, 1998 a copy of SEC Form 34-C (Definitive Information Statement) in connection with its Annual Stockholders' Meeting which will be held on April 20, 1998 , at 10:00 a.m, at the Rigodon Ballroom, The Peninsula Manila Hotel, corner Ayala and Makati Avenues, Makati City. The agenda for the said meeting shall be as follows: 1. Call to Order 2. Proof of due notice of the meeting and determination of quorum 3. Approval of Minutes 4. Approval of Annual Report 5. Ratification of the acts of the Board of Directors and Officers of the Corporation 6. Election of Directors 7. Approval of Increase of Authorized Capital Stock to P2.4 billion and corresponding amendment to Article Seventh of the Articles of Incorporation 8. Approval of Change of Par Value to P1.00 per share and corresponding amendment to Article Seventh of the Articles of Incorporation 9. Approval of Extension of the term of the Corporation for another period of fifty (50) years from May 30, 1999 and corresponding Amendment to Article Fourth of the Articles of Incorporation 10. Transaction of such other and further business as may properly come before the meeting. As previously announced, stockholders of record as of March 5, 1998 are entitled to notice of, and to vote at, said meeting.
