Inc., (the "Corporation'' held today, 03 March 2000, the following were elected as directors of the Corporation for the year 1999-2000: Kwek Leng Hai Felipe U. Yap David C. Go Micky Yong Mee Swee Victor C. Say Ricardo J. Romulo Yuen Po Seng Also, at-the said annual meeting. the stockholders owning at least 2/3 of the outstanding capital stock of the Corporation approved the following resolutions: 1. Increase in the Corporation's authorized capital stock from P2.4 billion (divided into 2.4 billion Common Shares) to up to P7.5 billion, divided into such number of Common Shares and/or Preferred Shares, as may be determined by the Board of Directors and the grant of authority to the Board of Directors to implement the said increase in capital stocks, under such terms and conditions as may be determined by the Board of Directors. 2.
