Grace de Guia Listing and Disclosure Group Gentlemen : In compliance with the Corporate Disclosure Requirements of the Philippine Stock Exchange, we report that at a special meeting of the Board of Directors of Baguio Gold Holdings Corporation held today, March 17, 1999, the following members of said Board of Directors: Renato L. Leveriza, Jr., Laureano S. Siy, Gerino M. Dolorfino, Mariano V. Osmea and Gonzalo Puyat II, successively resigned from the Board, and the following were successively elected to replace said resigned directors: Macario Te, Anthony Te, Romulo Gabionza, Hui Yuminada Y. and Francisco Gonzales.
