("ABCI") held on 16 March 1999 wherein a quorum was present and voting, the Board of Directors did the following: 1. Appointed Atty. Oliva P. Pedere as Acting Corporate Secretary; 2. Proposed the consolidation into ABCI of its following wholly-owned subsidiaries: a) A. Brown Chemical Corporation; b) Geoex Farms, Inc.; c) East Pacific Investors Corporation; d) Terra Asia Pacific Development Managers, Inc.; e) Victorsons Trans Cargo Systems, Inc. 3. Proposed the amendment of the THIRD ARTICLE of the Amended Articles of Incorporation of ABCI changing the principal office from Cainta, Rizal to Tanay, Rizal. 4.
