(the "Company") will be held on Friday, 29 May 1998, at the Mandarin Orient Hotel, Makati Avenue, Makati City, Metro Manila, at 10:00 A.M. Stockholders of record at the close of business on 15 April 1998 are entitled to notice of and to vote at the annual meeting. The books of the Company will not be closed.
