Garcia Gentlemen: Please be informed that based on the closing price of the common shares of Jollibee Foods Corporation ("Jollibee") on the Philippine Stock Exchange of P11.50 today, February 24, 2000 and in connection with the merger between Antares Holdings Inc. ("Antares") and Jollibee, each shareholder of Antares will be entitled to receive 1.739 shares of Jollibee for every 1 share of Antares held by such Antares shareholder, provided that, resulting fractional shares will not be issued. cdll Thank you.
