Garcia Gentlemen : In connection with the merger of Jollibee Foods Corporation and Antares Holdings, Inc., please be informed that the number of shares to be issued to shareholders of Antares Holdings, Inc. ("Antares") in exchange for existing shares in Antares shall be equivalent of P600,000,000.00 worth of common shares of Jollibee Foods Corporation ("Jollibee") based on the closing price of Jollibee as quoted on the Philippine Stock Exchange (the "PSE") on the last trading day immediately prior to the date of the special meeting of the stockholders (to be held on February 28, 2000). The last trading day immediately preceding February 28, 2000 is Thursday, February 24, 2000.
