March 5, 1999 PSE CIRCULAR FOR BROKERS NO. 415-99 SUBJECT : Universal Robina Corporation Further to Circular No. 369-99 dated March 1, 1999, Universal Robina Corporation ("URC") furnished the Exchange a copy of its SEC Form 34-C (Preliminary Information Statement) in connection with its Annual Stockholders' Meeting which will be held on April 22, 1999 , at 4:00 p.m., at the Amorsolo Ballroom of the Manila Galleria Suites, Asian Development Bank Avenue, Ortigas Center, Pasig City. The agenda for the meeting shall be as follows: 1. Proof of notice of meeting and the existence of a quorum 2. Reading and approval of the Minutes of the Annual Stockholders' Meeting held on April 21, 1998 3. Presentation of Annual Report and approval of Financial Statements for the preceding year 4. Ratification of all acts of the Board of Directors and Management since the last annual meeting 5. Election of Directors 6. Election of External Auditors 7. Consideration of such other matters as may properly come during the meeting 8.
