Philippine National Construction Corporation ("PNCC") furnished the Exchange on March 17, 1998 a copy of SEC Form 34-A (Definitive Proxy Statement) in connection with its Special Meeting of Stockholders which will be held on April 14, 1998, Tuesday at 3:00 p.m. at PNCC Complex, EDSA cor. Reliance St., Mandaluyong City with the following agenda: 1 Call to Order 2. Report on Attendance and Quorum 3. Approval of Minutes of Previous Stockholders' Meeting 4. Spin-off of the Tollways Division of PNCC into a wholly-owned subsidiary/investment of funds in a subsidiary company 5. Ratification of the following act: a.
